To upload material to this site or to take part in certain other activities within the site other than passively viewing site content, you must register and become a site member. In the registration process, you will be asked to ACCEPT these Terms of Use. Upon doing so, you will be deemed to have consented to and you will be bound by these Terms of Use.
Visitors to the site who wish to view content do not need to register as members. However, any use of this site constitutes your acknowledgement and acceptance of these Terms of Use, which takes effect the moment you first use the site.
Starlight Learning Inc. reserves the right to change the terms, conditions and notices under which its services are offered, including but not limited to these Terms of Use, by posting such changes online and may do so at any time.   It is the user’s responsibility to refer to and comply with all terms and conditions upon accessing the site. Continued use of this site after changes of these terms, conditions constitutes your acceptance.
If these Terms of Use are not accepted in full, you do not have permission to access the contents of this site or to upload content to this site. You must cease using this site immediately.
If there is any conflict between these Terms of Use and rules and/or specific terms of use appearing on this site relating to specific material, then the latter shall prevail.

TERMS OF SERVICE –ABILITY TO ACCEPT CONDITIONS

You affirm that you are more than 17 years of age or possess legal parental or guardian consent. You affirm that you are competent to enter into the terms, conditions, representations, obligations and warranties set forth in these Terms of Use and will abide by and comply with the Terms of Use.
In order to be a registered users of this website, you must be 18 years or over or possess legal parental or guardian consent.
If you have not reached 18 years of age or do not have legal parental or guardian consent, Starlight Learning Inc. may terminate your membership without notice.
Children and young people under 18 are entitled to access this site to view its content but may not register as members and/or upload content. Certain media on this site may be unsuitable for younger viewers. Astro Shorts/Starlight Learning Inc. is not responsible in any way for their content.

YOUR USER NAME, PASSWORD AND SECURITY

When you register as a member of Astro Shorts, you will be asked to select a username. You will select a Password. Your Username and Password allow you to access your account and any other members-only areas of the web site.
You accept sole responsibility to maintain the confidentiality of your Password and username. You accept that you are responsible for all activity that occurs under them. Starlight Learning Inc. is unable to check the identity of people using the site and will not in any way be liable in circumstances where the Password or Username are used by someone else. You agree to notify Starlight Learning Inc. immediately if you discover unauthorized use of your Password or Username or any other breach of security.
Any private information and/or data relating to the registration process, your membership to AstroShorts or your uploaded content will only be used by Starlight Learning Inc., our subcontractors, employees, agents and advisors, including legal advisors, as part of the process of administering your membership and when making decisions whether any material you seek to upload onto the site should be accepted or rejected. In addition, we may at our discretion, disclose this information to the police, regulatory bodies or any legal advisers in connection with any alleged criminal offense or suspected breach of these Terms of Use, including but not limited to, any claim of infringement by you, or otherwise where required by law. Otherwise, this information will be kept private and confidential and will not be passed on to third parties without your express consent.

LEGAL LIABILITY

As a user, you agree to hold harmless and indemnify Starlight Learning Inc, its employees, agents and representatives, from and against any third party claim arising from or in any way related to your use of the Astro Shorts site or other sites maintained by Starlight Learning Inc., including any liability or expense arising from all claims, losses, damages (actual and consequential), suits, judgments, litigation costs and legal fees. If Starlight Learning Inc. receives notice of a claim from someone other than the member whose use of the site is in question, Starlight Learning Inc. will provide that member with written notice of such claim, at the email address provided by that member at the time of registration.

LICENSE OF MATERIAL

When you upload or post content to Astro Shorts, that content becomes public content. It will be available to anyone who visits the Astro Shorts site. Astro Shorts and/or Starlight Learning Inc. do not claim ownership of the materials you post, upload or submit in any fashion to the Astro Shorts site. However, by submitting content to Astro Shorts, you are granting Starlight Learning Inc., its affiliated companies and partners, a worldwide, irrevocable, royalty-free, non-exclusive, sub-licensable license to use, reproduce and/or create derivative works of, distribute, publicly perform, publicly display, transfer, transmit, distribute and publish that content for the purposes of displaying that content on Astro Shorts or for any other non-commercial use of that content.
In addition, when you submit content to the Astro Shorts site, you grant Starlight Learning Inc. a license to distribute that content, either electronically or through any other media, to users seeking to download it through the Astro Shorts site or for purposes of other services provided by Starlight Learning Inc. and to display such content on affiliated sites. This license shall apply to the distribution and the storage of your content in any form, medium, or technology available now or in the future.
When you submit content, you warrant and represent that you own or otherwise control all of the rights to your content, including without limitation, all the rights necessary for you to provide, post, upload, input or submit the content and for Starlight Learning Inc. and Astro Shorts to post, upload, cross-post, or cross-upload the content.
You may remove content you have posted on Astro Shorts at any time. When you delete content, while not publicly available, it may remain on the Astro Shorts server until such time as you make a specific request to Astro Shorts for permanent deletion of such content from the Astro Shorts server. Any requests of this nature should be made to customer service at the following address: support@astroshorts.com .    Any license agreement with Starlight Learning Inc. for the use of said material will expire at that time.  Starlight Learning Inc. reserves the right to remove user content for any reason and at any time without the permission of the user.  Starlight Learning Inc. is not required to accept content from any user and shall reserve the right to limit access or the ability to upload content by any user at any time.

WHO OWNS IT?

The user retains ownership of any content he or she uploads to the Astro Shorts website.  By uploading said content to the Astro Shorts website, license is granted to Starlight Learning Inc. for the use of your material as noted above.
The content on the Astro Shorts website, including any text, software, graphics, photos, and videos, is either owned by Starlight Learning Inc. or it is licensed to Starlight Learning Inc.  All material is subject to copyright and other intellectual property rights under the copyright laws of Canada and trademark laws, foreign laws, and international conventions. Starlight Learning Inc. reserves all rights not expressly granted in and to the website and said content. You may not engage in the unauthorized use, copying, or distribution of any of said content.
All copyright, trademarks, service marks and other intellectual property rights in this site including logos, site layout other identifying marks, trademarks and all material or content supplied as part of the site, other than user-generated content, shall remain at all times the property of Starlight Learning Inc., its affiliates, associated companies, and/or licensors.
The names, images and logos identifying Astro Shorts are proprietary marks of Starlight Learning Inc. its associated companies and/or affiliates. Nothing contained herein shall be construed as conferring by implication, or otherwise any license or right under any trademark or service mark of Starlight Learning Inc, its associated companies and affiliates, or any third party unless expressly stated otherwise.
In accessing the Astro Shorts site, you agree that you do so only for your own personal, non-commercial use. You or any third party may not distribute, transmit, broadcast, commercially exploit or modify in any way the material available on this site without written approval by the copyright holder.
You shall be solely responsible for your own user-generated content and the consequences of posting or publishing said content. You affirm, represent and/or warrant to Starlight Learning, Astro Shorts and its third-party syndication, content and advertising partners that:
You own, or have the licenses, rights, consents, and permissions to use in all areas necessary to the legal use of your content and authorize Starlight Learning Inc. to use your content without restriction.
You have the written consent, release, and/or permission of each and every identifiable individual person in any uploaded video to use their name or likeness in each work.
In addition to posting your own content on Astro Shorts, you can also enjoy the many videos uploaded by others in the Astro Shorts community. The Astro Shorts site may include other content licensed from third party partners and content that is created and posted by our users. All of the content on the Astro Shorts site is protected by our copyrights, the copyrights of our partners and/or the copyrights of the user who posted such materials. Any materials submitted to Astro Shorts may be subject to posted limitations on usage, reproduction and/or dissemination. You are responsible for adhering to such limitations if you download the materials.
Unless designated by the user, any material will be uploaded under a Creative Commons Non-Commercial Share-Alike License. (www.creativecommons.org) If you wish to upload your material under a different form of license you must state it clip information.  You may not reproduce, create derivative works of, distribute, publicly perform, publicly display, or in any way exploit any content available on the Astro Shorts site in whole or in part except as granted under the copyright license attributed to the material you are using.  Any material you download must retain all copyright information and other proprietary notices contained therein.
You may not publish, transmit or aid in the transfer or sale of content available on the Astro Shorts site except in accordance with copyright law.  You may not otherwise use, reproduce, display, publicly perform, or distribute such content in any way for any public or commercial purpose unless such use is expressly granted by a particular license. COPYRIGHT INFRINGEMENT

PROHIBITED ACTIVITIES

Any attempt to obtain proprietary materials or information, including but not limited to, software and other Astro Shorts materials, through any means not intentionally made available or provided for through the Astro Shorts site is prohibited.
Users may not use the services offered on the site for any unlawful purpose or prohibited by these terms and conditions. You may not use the Astro Shorts site in any manner which could impair the function of the Astro Shorts site or interfere with the enjoyment of this site by other individuals. Starlight Learning Inc. has no obligation to monitor the content which has been uploaded to the website for compliance, however, Starlight Learning Inc. does reserve the right to review materials uploaded to Astro Shorts and to remove any materials in its sole discretion for any reason or no reason, at any time, with or without notice to you. Starlight Learning Inc. reserves the right to terminate access to any or all of the services offered by Astro Shorts at any time without notice for any reason whatsoever.

Starlight Learning Inc. does not control the content of any user-generated material. Starlight Learning Inc. is not liable for user-generated content or uploaded material and any actions resulting from such user-generated content or uploaded material.
You agree to use the services provided by Starlight Learning Inc. for lawful purposes only and you will do so in accordance with all applicable laws. You agree not to use the Astro Shorts website in any manner that interferes with its normal operation.  You agree not to use the Astro Shorts website in a way that interferes with other individuals’ enjoyment of the website. You further agree that you will not access Astro Shorts by any means except through the interface provided by Starlight Learning Inc. / Astro Shorts.   You will not access Astro Shorts from any country, state, province or other jurisdiction where the website’s contents are declared illegal.
Starlight Learning Inc. does not endorse any user-generated content or any opinion, recommendation or advice expressed therein. Therefore, Starlight Learning Inc. cannot be held liable in connection with user-generated content. If notified by a user or a third party of uploaded material that allegedly does not conform to these Terms of Use, Starlight Learning Inc. may at its sole discretion remove the user-generated content.

THE FOLLOWING CONTENT IS NOT ALLOWED

We want everyone to enjoy Astro Shorts.  We also have a duty to operate within the law. Therefore the following content is prohibited –it may not be posted on Astro Shorts by any user.

• Content that exploits children or that which contains any personally identifying information containing the last name of any minors.
• Content involving pornography, nudity, including but not limited to, nudity or partial nudity of children of any age.
• Content that includes overtly sexual references.
• Content that contains personal information about another individual and distributed for malevolent purposes.
• Content contains blatant expressions of bigotry, prejudice or racism.
• Content which contains profanity.
• Content which provides instruction for and/or promotes illegal activities.
• Content depicting cruelty to animals.
• Copyrighted content or material that is used without the written permission of the copyright owner.
• Content or other material that contains viruses, corrupted files, or any other similar software or programs which are designed to access or affect the operation of the Astro Shorts server or another user’s computer.
• Content that violates any applicable laws or regulations not specifically referenced herein.

The user agrees that in any case where the appropriateness of the material is in question, the decision of Starlight Learning Inc. shall be final.

As such, Starlight Learning Inc. cannot be held responsible for the contents of any Linked Site, including without limitation, any link contained in a Linked Site, or any changes or updates to a Linked Site. Starlight Learning Inc. is not responsible for webcasting or any other form of transmission received from any Linked Site. Starlight Learning Inc. provides these links to you only as a convenience.  Inclusion of any link does not imply approval by Starlight Learning Inc. or its affiliates.
